Terms and Conditions

Welcome to KNATechnology.com (the "Site") and the products and services offered by KNA Technology Inc. ("KNA," "we," "us," or "our"), including but not limited to Connect+ and Data Center Accelerator (collectively, the "Services"). These Terms and Conditions ("Terms") govern your access to and use of the Site and Services. By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.

1. Definitions

• "Customer" or "you" refers to the individual or entity that has agreed to these Terms, whether by using the Site, creating an account, or executing a separate order form or agreement with KNA.
• "Services" means KNA's kernel-native infrastructure products, including Connect+, Data Center Accelerator, and any related software, APIs, documentation, or support offerings.
• "Content" means any data, text, software, media, or other materials submitted, uploaded, transmitted, or processed through the Services.

2. Eligibility and Accounts

You must be at least 18 years old and have the authority to bind your organization (if applicable) to use the Services. When you create an account, you agree to:

• Provide accurate, current, and complete information;
• Maintain the security of your credentials;
• Promptly notify us of any unauthorized use of your account; and
• Accept responsibility for all activity that occurs under your account.

KNA is not liable for any loss arising from unauthorized use of your account resulting from your failure to safeguard your credentials.

3. Description of Services

KNA provides kernel-native infrastructure solutions designed to reduce compute costs and improve performance for data-intensive workloads, including:

• Connect+ — infrastructure connectivity and data movement solution.
• Data Center Accelerator — performance and efficiency optimization for data center workloads.

KNA reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice, provided that any material adverse change to a paid Service will be communicated to active Customers in accordance with any applicable order form or master services agreement.

4. Acceptable Use

You agree not to use the Site or Services to:

• Violate any applicable law, regulation, or third-party right;
• Reverse engineer, decompile, or disassemble any part of the Services except as permitted by law;
• Attempt to gain unauthorized access to KNA's systems, networks, or other customers' data or environments;
• Introduce malware, conduct penetration testing without written authorization, or otherwise interfere with the integrity or performance of the Services;
• Resell, sublicense, or provide the Services to third parties except as expressly permitted in a separate written agreement with KNA;
• Use the Services in a manner that exceeds any applicable usage limits, quotas, or fair-use policies communicated by KNA.

KNA reserves the right to suspend or terminate access for any Customer that violates this section.

5. Fees and Payment

Where Services are offered on a paid basis, fees, billing cycles, and payment terms will be set out in an order form, invoice, or separate agreement between you and KNA. Except as otherwise stated:

• Fees are non-refundable except as required by law or expressly stated in your order form;
• You are responsible for all applicable taxes, excluding taxes on KNA's net income;
• Late payments may result in suspension of Services and accrual of interest at the lesser of 1.5% per month or the maximum rate permitted by law.

6. Intellectual Property

6.1 KNA's IP

The Site, Services, and all related software, documentation, trademarks (including the KNA name and logo), and other intellectual property are owned by KNA Technology Inc. or its licensors. Nothing in these Terms grants you any ownership rights in the Services; you receive only a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms and any applicable order form.

6.2 Customer Content

You retain all rights to any Content you submit or process through the Services. You grant KNA a limited license to host, process, transmit, and display your Content solely as necessary to provide the Services. You represent that you have all rights necessary to grant this license and that your Content does not infringe any third-party rights.

6.3 Feedback

If you provide KNA with feedback, suggestions, or ideas about the Services, you grant KNA an unrestricted, royalty-free, perpetual license to use that feedback for any purpose without obligation to you.

7. Third-Party Services

The Services may integrate with or rely on third-party infrastructure, software, or service providers. KNA is not responsible for the availability, performance, or practices of third-party services, and your use of any third-party service is subject to that provider's own terms.

8. Confidentiality

Each party agrees to protect the other party's confidential information using at least the same degree of care it uses to protect its own confidential information of similar nature, and not less than a reasonable degree of care. This obligation does not apply to information that is publicly available, independently developed, or rightfully obtained from a third party without restriction.

9. Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. KNA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KNA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. KNA'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO KNA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless KNA and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your Content, or your violation of these Terms or applicable law.

12. Term and Termination

These Terms remain in effect until terminated. KNA may suspend or terminate your access to the Services at any time for violation of these Terms, non-payment, or as required by law. You may terminate your account at any time by ceasing use of the Services and, if applicable, following the cancellation process in your order form. Sections that by their nature should survive termination (including Sections 6, 8, 9, 10, 11, and 13) will survive.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of [jurisdiction to be confirmed], without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in [jurisdiction to be confirmed], and you consent to the personal jurisdiction of such courts.

15. Miscellaneous

• Entire Agreement: These Terms, together with any applicable order form or master services agreement, constitute the entire agreement between you and KNA regarding the Services.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
• No Waiver: KNA's failure to enforce any right or provision will not be considered a waiver of such right or provision.
• Assignment: You may not assign these Terms without KNA's prior written consent; KNA may assign these Terms in connection with a merger, acquisition, or sale of assets.
